Dear shareholders of PJSC “FUIB”!

Please, be informed of the scheduled Annual General Meeting (“AGM”) of Shareholders of PUBLIC JOINT STOCK COMPANY “FIRST UKRAINIAN INTERNATIONAL BANK” (“Bank”). The AGM is to be held on 28 March 2014 at the Bank’s premises (Donetsk Head Office) at: Universytetska 2a, Donetsk, 83001 (assembly hall, 3^d floor, room No 337). The AGM is to commence at 11:00.

Registration of shareholders (their proxies) will be carried out on 28 March 2014 from 10:30 to 10:55 at the venue of the AGM. The register of the shareholders entitled to participate in the AGM is to be compiled as at 24:00 on 24 March 2014.

Agenda:

1. Appointment of the AGM’s Secretary and Vote Counting Commission.
2. Approval of the 2013 annual report (performance result) of the Bank (its subsidiaries inclusive).
3. Approval of actions to be taken based on the independent auditor’s opinion on the 2013 annual report of the Bank (its subsidiaries inclusive).
4. Report by and opinion of the Audit Commission on the Bank’s 2013 annual report (performance results).
5. Report by and opinion of the Management Board on the Bank’s 2013 financial and business performance results.
6. Distribution of the Bank’s profit (or of the procedure for covering losses) for 2013.
7. Approval of resolutions upon considering the reports from the Supervisory Board, Management Board, Audit Commission on the Bank’s performance over 2013.
8. Termination of authorities of the Supervisory Board of the Bank.
9. Determination of quantitative composition of the Bank’s Supervisory Board.
10. Appointment of the members and Chairman of the Bank’s Supervisory Board.
11. Amendments to the Regulation on the Bank’s Audit Commission. Restatement of the Regulation on the Bank’s Audit Commission.

To participate in the AGM the shareholder (its proxy) shall have:

• shareholders – passport or other ID, documents confirming authority of the head of the Bank’s corporate shareholder;
• proxies – passport or other ID, power of attorney for participation in and voting at the AGM authenticated within the law of Ukraine.

Materials on the issues of the agenda of the AGM are available in the Bank’s premises (Donetsk Head Office) at: Universytetska St. 2a, Donetsk, 83001, on business days from 9:00 to 18:00.
